Twitter Files Preliminary Proxy Statement for Acquisition by Elon Musk
Twitter Inc. today (May 17) announced that it has filed its preliminary proxy statement with the U.S. Securities and Exchange Commission in connection with the previously announced agreement for Twitter to be acquired by affiliates of Elon Musk for $54.20 per share in cash. Twitter is committed to completing the transaction on the agreed price and terms as promptly as practicable.
The preliminary proxy statement contains important information including the background of, and reasons for, Twitter’s transaction with Mr. Musk.
McDonald’s to Exit from Russia
After more than 30 years of operations in the country, McDonald’s Corp. announced it will exit the Russian market and has initiated a process to sell its Russian business. This follows McDonald’s announcement on March 8 that it had temporarily closed restaurants in Russia and paused operations in the market.
The humanitarian crisis caused by the war in Ukraine, and the precipitating unpredictable operating environment, have led McDonald’s to conclude that continued ownership of the business in Russia is no longer tenable, nor is it consistent with McDonald’s values.
Emergency Physicians Urge Parents to Avoid Diluting Baby Formula
With baby formula in short supply around the country, the American College of Emergency Physicians (ACEP) has a clear warning for caregivers: avoid watering down formula. “Adding extra water to baby formula to try and make it last longer can put a child at risk of a seizure or another medical emergency,” said Gillian Schmitz, MD, FACEP, president of ACEP. “Given the current formula shortage, it may be tempting to look for a workaround, but it is very important to always mix formula according to the manufacturer’s instructions.”
Infants under the age of six months should not drink water or other liquids besides infant formula or breast milk, unless advised by a physician. Adding too much water to formula reduces its nutrient levels and could slow a child’s development. It could also cause an electrolyte imbalance that can lead to severe health problems, including seizures.
